Terms of Service

1. Parties

These Terms of Service ("Terms") govern the relationship between CFO Digital Europe SARLS (trading as Cortex AI, "we", "us", "our"), a company registered in Luxembourg, and any individual or entity ("Client", "you") that engages our services or uses our website cortexai.lu.

2. Services

Cortex AI provides AI consultancy, implementation, and managed services including but not limited to: Private AI Assistants, Customer Service Agents, Intelligent Automation, Advanced Analytics, GenAI Team Accelerator programs, Website & SEO services, Odoo ERP implementation, and monthly maintenance subscriptions. Specific deliverables, timelines, and pricing are defined in individual project proposals or service agreements.

3. Payment Terms

• Project fees are invoiced in milestones as defined in the project proposal.
• The standard milestone structure is: 40% on project kickoff, 40% on MVP delivery, 20% on final handover.
• Monthly subscription fees (maintenance, managed services) are invoiced monthly in advance.
• Payment is due within 30 days of invoice date. Late payments incur interest at 1% per month.
• All prices are exclusive of Luxembourg VAT (17%) unless otherwise stated.

4. Intellectual Property

Upon full payment, the Client owns all custom code, models, and deliverables created specifically for their project. Cortex AI retains ownership of its pre-existing tools, frameworks, methodologies, and proprietary components. We grant the Client a perpetual, non-exclusive licence to use any Cortex AI components embedded in their solution.

5. Data and Confidentiality

We treat all Client data as strictly confidential. We will not share, sell, or use Client data for any purpose other than delivering the contracted services. All data processing is governed by our Data Processing Agreement (available on request) and complies with GDPR. Client data is stored exclusively on EU infrastructure.

6. Limitation of Liability

Our total liability for any claim arising from our services shall not exceed the total fees paid by the Client in the 12 months preceding the claim. We are not liable for indirect, consequential, or incidental damages. We do not guarantee specific business outcomes from AI implementations, as results depend on data quality, organisational adoption, and market factors outside our control.

7. Termination

Either party may terminate a project engagement with 30 days written notice. The Client is responsible for fees for work completed up to the termination date. Monthly subscriptions may be cancelled with 30 days notice before the next billing cycle.

8. Governing Law

These Terms are governed by the laws of the Grand Duchy of Luxembourg. Any disputes shall be subject to the exclusive jurisdiction of the courts of Luxembourg City.
